1. Who you are contracting with
These Terms govern your use of the countdown calendar service (the "Service") provided by It's Time ("It's Time", "we", "us", "our"). By creating an account or using the Service you agree to be bound by these Terms.
2. Acceptance
By accessing or continuing to use the Service you confirm that you accept these Terms. If you do not agree, do not use the Service. You confirm that you are of legal age and, if acting for an organisation, have authority to bind it.
3. The Service
It's Time lets you create, share, and receive reminders for live countdowns, including custom alert sounds and a stopwatch / timer. Features may evolve over time.
4. Your account
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it updated.
5. Acceptable use
You must not:
- use the Service unlawfully, fraudulently, or for spam;
- infringe intellectual property or privacy rights of others (including with uploaded audio);
- upload malware or attempt to interfere with the security or integrity of the Service;
- probe, scan, or scrape the Service or circumvent technical limitations.
6. Intellectual property
It's Time retains all right, title, and interest in the Service, including software, design, and branding. You retain ownership of content you upload; you grant us a limited, worldwide, royalty-free licence to host and process it solely to provide the Service.
7. Licence and restrictions
We grant you a limited, non-exclusive, non-transferable right to use the Service in line with your plan. You must not reverse engineer, resell, or redistribute the Service.
8. Payment, subscriptions, and refunds
Paid plans are billed monthly at the price displayed at checkout. Subscriptions renew automatically until cancelled. Payment, billing, taxes, cancellations, and refunds are handled by Paddle under the Paddle Checkout Buyer Terms. See our Refund Policy for our refund window.
9. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
10. Service availability
We work hard to keep the Service running, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
11. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time. On termination, your right to use the Service ends; we may delete your data after a reasonable period.
12. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (e.g. fraud, death, or personal injury caused by negligence).
13. Indemnity
You agree to indemnify It's Time against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
14. Changes to the Terms
We may update these Terms; we will notify you of material changes.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which It's Time is established, without regard to conflict-of-laws principles. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to mandatory consumer protection laws in your country of residence.
